TERMS OF SERVICE — JUSTEMBED

1. DATA OF THE SERVICE PROVIDER

The JustEmbed software service (hereinafter "JustEmbed", "Service", "Platform") is developed, provided, and managed by:

2. DEFINITIONS AND SUBJECT MATTER OF THE CONTRACT

  • "User" or "Customer": Any natural or legal person who creates an account, purchases a subscription, or interacts with the JustEmbed Service.
  • "Consumer (B2C)": A natural person acting for purposes unrelated to their entrepreneurial, commercial, craft, or professional activities (art. 3 Consumer Code).
  • "Professional/Company (B2B)": A natural or legal person acting in the exercise of their entrepreneurial, commercial, craft, or professional activity.
  • "Dashboard": The management interface accessible via web browser for configuring feeds, sources, and graphic options.
  • "Widget": The client-side JavaScript script (encapsulated in Shadow DOM) provided by JustEmbed for embedding feeds and reviews on third-party sites.
  • "Third-Party Platforms": External services integrated by JustEmbed (including, by way of example: Meta/Instagram/Facebook, Google, TikTok, LinkedIn, Yelp, Trustpilot, Shopify, WooCommerce, Square).
  • "Plans": Subscription levels (Free, Starter, Growth, Developer, Enterprise) that define limits on sources, feeds, cache update frequency, domains, and enabled features.

3. ACCOUNT REGISTRATION AND SECURITY

  1. Requirements: The User must be at least 18 years old (or the legal age of majority in their jurisdiction) to enter into a binding contract.
  2. Authentication Methods: Access is provided via Google OAuth, Meta OAuth, or Magic Link sent via email. The User is responsible for maintaining the confidentiality of their account email and devices used for access.
  3. Sessions and Tokens: JustEmbed adopts session tokens managed at the edge runtime level with encryption. The User must promptly notify JustEmbed of any unauthorized use of their account or security breach.

4. LICENSE AND LIMITATIONS (WHITE-LABEL AND RESALE PROHIBITION)

  1. License Grant: JustEmbed grants the User a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Dashboard and to embed the Widget on websites owned by the User or managed on behalf of their direct clients.
  2. Agency/Developer Plans (Developer/Enterprise): The enabling of API keys (Developer API Keys) allows technical multi-feed aggregation for the User's clients, but does not authorize resale of the Service as their own product (white-label prohibition, re-branding, sub-licensing, or creating a competing service based on JustEmbed's infrastructure), unless a specific written commercial agreement exists.
  3. Technical Restrictions: It is expressly prohibited to:
    • Perform reverse engineering, decompile, disassemble, or extract the source code of the Widget or Service APIs;
    • Bypass or evade rate limiting systems, subrequest quotas, authorized domain controls (Domain Whitelisting), or watermarks of the Free plan;
    • Use JustEmbed to distribute unlawful, defamatory, obscene, privacy-infringing content, or content violating third-party intellectual property rights.

5. SUBSCRIPTION PLANS, BILLING, AND PAYMENTS

  1. Payment Processing: All transactions and paid subscriptions are processed securely via Stripe. JustEmbed does not store nor have direct access to full payment card numbers.
  2. Billing Cycle and Automatic Renewal:
    • Paid subscriptions are available with monthly or annual billing cycles (applying the applicable discount indicated at checkout).
    • The subscription automatically renews at the end of the period (month or year), unless cancellation is submitted before the renewal date via the Dashboard (Billing / Stripe Customer Portal section).
  3. Billing and Tax Regime:
    • Displayed prices may be subject to VAT according to law depending on the qualification of the buyer and the tax regime of the providing sole proprietorship.
    • For intra-community B2B transactions registered in VIES, the reverse charge mechanism applies where permitted by law.
  4. Failed Payment (past_due): In case of charge failure, Stripe will make further automatic attempts. During delinquency, JustEmbed reserves the right to suspend automatic feed updates or temporarily downgrade the account to the Free plan, interrupting advanced features and API access until payment is regularized.

6. RIGHT OF WITHDRAWAL AND REFUNDS

  1. B2B Customers (Companies and Professionals): For contracts concluded with users not qualifying as consumers, the 14-day right of withdrawal does not apply, and all payments made are non-refundable, except as otherwise provided by mandatory law.
  2. Consumer Customers (B2C) — Art. 52 et seq. Legislative Decree 206/2005:
    • Consumers residing in the European Union have the right to withdraw from the contract within 14 days from the initial subscription.
    • Exception for Immediate Provision of Digital Service: Pursuant to art. 59, paragraph 1, letter o) of the Consumer Code and Directive 2019/770/EU, if the Consumer requests activation and immediate provision of the digital SaaS service during the withdrawal period, they acknowledge and accept that the right of withdrawal lapses upon full execution of the service or commencement of provision.
  3. Cancellation Policy: The User may cancel the subscription at any time via the billing portal. Access to paid features will remain active until the end of the already paid period; no pro-rata refunds are provided for unused portions of the period.

7. DEPENDENCY ON THIRD-PARTY APIs AND PLATFORMS (DISCLAIMER OF LIABILITY)

  1. Nature of Integration: JustEmbed operates as a technical aggregator interfacing with official APIs from Meta (Instagram/Facebook), Google, LinkedIn, TikTok, Yelp, Trustpilot, Shopify, WooCommerce, and Square.
  2. Modifications, Revocations, and Blocks by Third Parties: JustEmbed does not control nor guarantee uninterrupted availability of third-party APIs. JustEmbed will not be held liable in any way for malfunctions, unavailability, feed interruptions, or synchronization failures arising from:
    • Unilateral modifications, deprecations, or restrictions to APIs introduced by third-party platforms;
    • Revocation, expiration, or invalidation of access tokens and API keys;
    • Bans, suspensions, or limitations applied by third-party platforms to the User's account;
    • Reaching rate limits imposed by third-party platforms.
  3. E-commerce Connections: Synchronization of catalogs and stock levels (Shopify, WooCommerce, Square) is provided for informational purposes for widget badge rendering and does not constitute a primary inventory or order management system.

8. CONTENT OWNERSHIP, COPYRIGHT, AND INDEMNIFICATION

  1. Content Ownership: The User acknowledges that JustEmbed claims no intellectual property rights over content (texts, images, videos, reviews, trademarks) aggregated via connected third-party platforms.
  2. Technical Caching and Proxying (Cloudflare R2): To ensure continuous display and avoid expired media links, JustEmbed temporarily stores image caches and structured data on its Cloudflare R2 buckets and edge D1 database. Such storage constitutes a purely technical and transient caching/proxying activity accessory to the provision of the Service.
  3. Indemnification Clause: The User warrants having all rights, licenses, consents, and authorizations necessary to aggregate and publish the content and reviews displayed via the Widget, and undertakes to indemnify and hold JustEmbed harmless from any claim, damage, sanction, legal expense, or dispute arising from violation of copyright, trademarks, privacy, or unfair competition caused by content displayed on the User's sites.

9. SERVICE LEVELS (SLA), AVAILABILITY, AND MAINTENANCE

  1. "As Is" Provision: The Service is provided "as is and as available," without any implied or express warranties of merchantability, fitness for particular purposes, or 100% uninterrupted uptime.
  2. Maintenance: JustEmbed reserves the right to temporarily suspend access to the Dashboard or APIs for routine, extraordinary maintenance, or security updates, working to minimize impact on Widget operation.
  3. Limitation of Liability: To the maximum extent permitted by applicable law, JustEmbed's aggregate liability for any direct damages arising from use or inability to use the Service shall not in any case exceed the total amount actually paid by the User to JustEmbed in the 12 (twelve) months preceding the damaging event (or a lump sum of 50.00 € if the User uses the free Free plan). In no event shall JustEmbed be liable for indirect damages, loss of revenue, data loss, or interruption of the User's commercial activity.

10. PERSONAL DATA PROTECTION (GDPR) AND COOKIES

  1. Privacy Policy: The processing of the User's billing and personal data is governed by JustEmbed's Privacy Policy.
  2. Zero-Cookie Widget and Processing on Host Sites:
    • JustEmbed's Widget is designed following Privacy by Design principles: it sets no persistent profiling or tracking cookies on the end visitor's browser and adopts a default Privacy-Safe mode that does not make direct third-party calls before consent.
  3. Role under GDPR (Art. 28 EU Regulation 2016/679):
    • For data displayed or collected via the Widget installed on the User's website (e.g., IP addresses, view/click analytics events), the User acts as Data Controller, while JustEmbed acts as Data Processor.
    • The data processing agreement (Data Processing Agreement - DPA) compliant with Art. 28 GDPR is deemed automatically perfected upon acceptance of these Terms and use of the Service.

11. ACCOUNT SUSPENSION AND DELETION

  1. Deletion by User: The User may request permanent deletion of their account at any time via self-service features in the GDPR section of the Dashboard (POST /api/v1/gdpr/delete), resulting in cascading deletion of sessions, feeds, configurations, and cached media files in R2.
  2. Termination for Non-Compliance: JustEmbed reserves the right to suspend or close the account with immediate effect in case of:
    • Material breach of these Terms;
    • Fraudulent or unlawful use of the Service or APIs;
    • Prolonged non-payment of due amounts beyond automatic recovery attempts.

12. AMENDMENTS TO TERMS

JustEmbed reserves the right to update or modify these Terms and Conditions in light of legislative, technical, or business model evolutions. Material changes will be communicated via notice in the Dashboard or via email with at least 15 days' prior notice. Continued use of the Service after the effective date of changes constitutes full acceptance of the new Terms.

13. APPLICABLE LAW AND COMPETENT COURT

  1. Governing Law: These Terms are governed by and interpreted in accordance with Italian law.
  2. Forum for Professional Users (B2B): For any dispute regarding the validity, interpretation, execution, or resolution of this contract between JustEmbed and B2B customers, the exclusive competent forum is the Court of Novara (Italy).
  3. Forum for Consumer Users (B2C): If the User is a Consumer residing in the European Union, the competent forum is that of the Consumer's residence or elected domicile, pursuant to Legislative Decree 206/2005.
  4. Online Dispute Resolution (ODR): European consumers may use the Online Dispute Resolution platform established by the European Commission, accessible at: https://ec.europa.eu/consumers/odr.
